Terracom S.A. (hereinafter referred to as the "Company") is an IT Service Provider, headquartered at Dousia, Bafra, Ioannina, Greece, with Tax number EL099533677 and Tax Office Ioannina. Terracom is the owner of the online platform GPSlive.io, an advanced fleet tracking and management application designed to optimize our clients' business operations.

The Web application Service is located at https://fleetmg.plantron.gr (hereinafter "Service Website") and is operated by Terracom S.A. (hereinafter "Company", "we" or "us").

For the purposes of these Terms of Use (hereinafter "Terms") "you" and "your" shall mean an individual or a legal entity that is eligible to be bound by these Terms.

Legal Agreement

Terracom S.A. provides its services to users in accordance with these Terms. Please read these Terms carefully. By completing the registration process on the Service Website and/or upgrading to one of the available service packages, you confirm that you meet the requirements for creating a user account.

By accepting the Terms or using the Service, you declare that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you should immediately discontinue use of the Service and leave the Service Website.

In case you are using the Service on behalf of a legal entity, you represent and warrant that you are authorized to accept these Terms on behalf of such entity, and that the entity agrees to indemnify you, as well as Terracom S.A., for any breach of the Terms.

Terracom S.A. reserves the right to amend these Terms from time to time without prior notice. The Company strives for the optimal service and satisfaction of its customers, a goal that can only be achieved through the development of trust between the customers and the Company. The Company's customers, as well as visitors to the website, will hereinafter be referred to as 'Customers,' whether they place orders or use the Company’s services.

Registration

To begin using the web application, it is necessary to register by selecting one of the available service pricing packages and purchasing the corresponding package. The information you submit, such as your email address, username, password, and company details, is used to create your account and send you a registration code so that you can log in to the Service Website.

You agree to provide accurate and up-to-date information as required by the registration form, to ensure the security of your password, and to accept responsibility for any risks of unauthorized access to your account. You acknowledge that you are solely responsible to Terracom S.A. for all activities conducted through your account.

Grant of right to use

According to these Terms, Terracom S.A. grants you a limited, revocable, non-exclusive right to use the Service, exclusively as provided by your respective service package. The number and type of modules you can use depend on the selected package. The use of the Service is available for as long as your subscription is valid, provided that you have paid and continue to pay any required subscription fees.

Without limiting the above, we fully acknowledge your rights to the data included in the Service reports. The right to use will terminate immediately in the event of a breach of these Terms.

Intellectual property

Web site content, such as images, designs, graphics etc. is intellectual property of the Company and is protected under the relevant provisions of Greek law, European law and international conventions. Any copying, distribution, sale, derivative creation or misleading the public about the actual provider of the web site content is against the law. Any reproduction, republication, loading, communication, distribution or transmission or any other use of the content, in any manner, for commercial purposes is allowed only after prior written authorization of the Company or any other copyright holder.

The images, logos and distinctive features representing the Company or third parties and their products or services are trademarks of the Company or third parties and are protected by the relevant Greek and European trademark laws. Their appearance on the web site does not imply license on the assignment or use of any third party.

Terms of payment

The Service is provided to registered users based on a selected subscription to a paid Service Package. By upgrading the current Service Plan to another, users agree to pay all related fees, including one-time or recurring charges, at the prices applicable at the time of purchasing the subscription.

The billing period may be either monthly or annual, depending on the user's choice when upgrading or changing the Service Package.

Unless there is an explicit written agreement, all Service subscription fees and charges are non-refundable.

Confidentiality

Terracom S.A. shall never share your Service reports and any other information related to your projects in the Service account with third parties or with other business units of Terracom S.A. without your prior written consent, except for the purpose of performing Terracom S.A. obligations under these Terms or if required by law, regulation, or court order. If so forced, we agree to give you as much notice as is reasonably practicable prior to disclosing such information. The privacy of the Service users is very important to Terracom S.A., therefore the use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by this reference.

Subscription upgrades/downgrades

If a user downgrades to a lower plan, all functionalities (modules) involved with their previous plan will be deactivated.

Termination

Users may terminate the agreement at any time by sending a notice to Terracom S.A. Terracom S.A. reserves the right to terminate these Terms in the event of repeated violations. Termination will take effect immediately or as stated in the notice. Upon notice of termination, the user must cease using the Service. In the event of termination, the user is not entitled to a refund of any subscription fees or other charges paid up to the date of termination.

General

These Terms shall be governed by and construed in accordance with the laws of Greece without regard to conflict of laws principles. Any action relating to these Terms must be brought in the state courts located in Ioannina, Greece and you irrevocably consent to the jurisdiction of those courts and waive any claim that those courts constitute an inappropriate venue or inconvenient forum.

By using the Service, you agree to occasionally receive informational emails from Terracom S.A., including account notifications and information about the Service. These communications are an integral part of your relationship with Terracom S.A., and you agree that electronic notifications meet all legal requirements.

You do not have the right to assign these Terms to any third party, and any such assignment will be considered void. The section headings are for convenience only and have no legal effect.
